In the event of any conflict or inconsistency between these FAQs and an Engagement Document or our published policies, the Engagement Document or policy shall prevail. We may amend these FAQs at any time without notice.

1.4 Does the Company work with startups and individual founders?
Yes. We work with businesses of all sizes, subject to our standard due diligence, acceptance of our Terms & Conditions and execution of an Engagement Document. We reserve the right to decline any engagement at our sole discretion, without assigning reasons.
2. Enquiries and proposals
2.1 Is my first consultation binding?
No. An introductory call or meeting does not create any contractual relationship. Information shared during an enquiry is handled in accordance with our Privacy Policy. If you wish to share commercially sensitive information before an engagement is confirmed, we are willing to execute a mutual non-disclosure agreement.
2.2 How long is a proposal valid?
Unless stated otherwise, proposals and quotations are valid for 30 days from the date of issue. After that, scope, fees and timelines may be revised. A proposal becomes binding only when accepted in writing by both parties and, where applicable, on receipt of the advance payment.
2.3 Who owns ideas presented in a pitch or proposal?
All concepts, strategies, designs, scripts and other materials presented by the Company in a pitch, proposal or credentials presentation remain the Company's intellectual property unless and until they are commissioned under an executed Engagement Document and paid for in full. Such materials may not be used, adapted or shared with third parties without our prior written consent.
2.4 Can I hire the Company for a single project?
Yes. Engagements may be structured as one-time projects or ongoing retainers. Each engagement is subject to its own Engagement Document.
3. Fees, taxes and payments
3.1 How are fees determined?
Fees are determined by the scope, complexity, timelines and resources required, and are set out in the Engagement Document. Fees quoted on a fixed-scope basis apply only to the scope described; any additional work, change in requirements or extra revision rounds will be treated as a change request and charged separately, subject to your written approval.
3.2 Are taxes included?
Unless expressly stated, all fees are exclusive of Goods and Services Tax (GST) and other applicable taxes, which will be charged additionally at prevailing rates. Where the client is required by law to deduct tax at source (TDS), the client shall deposit such tax within the statutory period and furnish the corresponding certificate to us promptly.
3.3 What are the standard payment terms?
Unless otherwise agreed in writing, project engagements require an advance of 50% before commencement, with the balance payable on milestones or delivery as specified. Retainers are invoiced monthly in advance. Invoices are payable within 15 days of issue. We may charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law, whichever is lower, and may suspend services until outstanding amounts are paid.
3.4 Are third-party costs included?
No. Third-party costs — including media and advertising spend, printing, fabrication, talent and model fees, location charges, permits, stock assets, music licences, software subscriptions, travel and courier — are excluded from our professional fees unless expressly stated. Such costs will be estimated in advance and incurred only with your written approval. Advertising spend is paid by the client directly to the relevant platform wherever possible.
3.5 Are payments refundable?
Advance payments are non-refundable once work has commenced, as they secure team availability and cover work performed. If an engagement is terminated, fees for work performed up to the date of termination, together with costs and non-cancellable commitments incurred, shall be payable, as set out in the Terms & Conditions and the Engagement Document.
4. Process, timelines and approvals
4.1 How long does a project take?
Timelines are estimates provided in good faith and are set out in the Engagement Document. They depend on timely receipt of briefs, content, materials, feedback, approvals and payments from the client. Delays caused by the client, third parties or events beyond our reasonable control will extend timelines accordingly, and we shall not be liable for such delays.
4.2 How many revisions are included?
The number of revision rounds is specified in the Engagement Document. Revisions are limited to changes within the approved brief and direction. Changes to the brief, new directions or additional rounds will be treated as change requests and charged separately.
4.3 What happens when I approve work?
Written approval — including by email, messaging app or signed approval form — of any concept, script, design, copy, artwork or deliverable shall be deemed final. The client is solely responsible for verifying the accuracy of all approved content, including prices, specifications, legal disclaimers, regulatory details and spellings. Changes requested after approval may incur additional charges, including reprinting or re-production costs.
4.4 Who is responsible for legal and regulatory compliance of content?
The client is responsible for ensuring that all claims, offers, statistics, testimonials, product information and regulatory particulars (including, where applicable, RERA registration details, FSSAI details, pricing disclosures and statutory warnings) provided to us are accurate, substantiated and lawful. While we follow applicable advertising codes, including the ASCI Code, we do not provide legal advice, and final legal clearance remains the client's responsibility.
5. Intellectual property and usage
5.1 Who owns the final deliverables?
Subject to receipt of full payment of all amounts due, the Company assigns to the client the rights in the final, approved deliverables specifically created for the client, as set out in the Engagement Document. Until full payment is received, all rights remain with the Company. Rejected concepts, drafts, working files and unused materials remain the Company's property unless otherwise agreed in writing.
5.2 Are there any limits on how I can use the work?
Yes, where deliverables include third-party elements such as stock images, fonts, music, footage, talent performances or influencer content. Such elements are licensed, not assigned, and their use is restricted to the media, territory and duration specified in the applicable licence or talent agreement. Any extended use requires additional licences at the client's cost.
5.3 Will I receive source and raw files?
Final deliverables are provided in the formats specified in the Engagement Document. Editable source files, raw footage and project files are provided only where expressly included, or on payment of an additional fee.
5.4 Can the Company showcase my project in its portfolio?
Unless otherwise agreed in writing, the Company may display the final work, the client's name and logo in its portfolio, website, social media, credentials presentations and award entries after the work has been publicly released. Clients who require confidentiality may opt out in writing at any time before or during the engagement.
6. Confidentiality and data protection
6.1 Will the Company keep my information confidential?
Yes. All non-public business information shared with us is treated as confidential and used solely for the purpose of the engagement, subject to the confidentiality provisions in our Terms & Conditions and any NDA executed between the parties. Confidentiality obligations do not apply to information that is publicly available, independently developed or required to be disclosed by law.
6.2 How does the Company handle personal data?
We process personal data in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023 and rules made thereunder. Where we process personal data on behalf of a client — for example, leads generated through a campaign — we act as a data processor on the client's instructions, and the client, as data fiduciary, remains responsible for providing notice, obtaining consent and responding to data principal requests.
6.3 Who owns my advertising and social media accounts?
All advertising accounts, social media profiles, domains, websites, analytics and CRM accounts should be created in, and remain in, the client's name. The Company is granted access as a user or partner. On termination, the client may revoke our access, and we shall hand over any credentials or assets held by us on the client's behalf, subject to settlement of dues.
7. Results, warranties and liability
7.1 Does the Company guarantee results?
No. Marketing outcomes — including reach, engagement, leads, sales, rankings, AI visibility and return on ad spend — depend on factors outside our control, such as market conditions, platform algorithms, competition, product, pricing and the client's sales processes. Any projections, estimates or benchmarks shared are indicative only and do not constitute a warranty or guarantee.
7.2 What happens if a platform rejects or suspends an ad or account?
Advertising and social media platforms operate under their own policies, which may change without notice. The Company is not liable for any rejection, restriction, suspension or loss caused by platform decisions, outages or policy changes, although we will make reasonable efforts to resolve such issues.
7.3 Is the Company's liability limited?
Yes. To the maximum extent permitted by law, the Company's aggregate liability arising out of or in connection with any engagement is limited as set out in our Terms & Conditions and the Engagement Document, and the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, goodwill or data.
8. Termination and disputes
8.1 Can either party end an engagement?
Yes, in accordance with the notice period and termination provisions of the Engagement Document. Retainers typically require 30 days' written notice. On termination, the client shall pay for all work performed and costs incurred up to the effective date of termination.
8.2 Which law governs and where are disputes resolved?
All engagements and the use of this Website are governed by the laws of India. Disputes shall first be attempted to be resolved amicably and, failing that, by arbitration seated in Mumbai under the Arbitration and Conciliation Act, 1996, as set out in our Terms & Conditions. Subject to the arbitration clause, the courts at Mumbai shall have exclusive jurisdiction.
9. Careers and vendors
9.1 How do I apply for a job?
Please see our Careers page and apply only through the channels listed there. The Company never asks applicants for payment of any kind at any stage of recruitment. Applicant data is processed in accordance with our Privacy Policy.
9.2 How can vendors or media owners work with the Company?
Vendors may write to contact@nebulabrandlabs.com. Empanelment is at the Company's sole discretion and subject to commercial terms, compliance documentation (including PAN, GST and bank details) and execution of a vendor agreement.
